Software Agreement & Proprietary License

WealthPlannr is proprietary software owned exclusively by WealthPlannr B.V., Amsterdam, the Netherlands (KvK 42050571) (“WealthPlannr,” “we,” “us”). By creating an account or otherwise accessing or using the software, you (“you,” the “User”) acknowledge and agree to the terms of this Software Agreement & Proprietary License (the “Agreement”). If you do not agree, you must not use the software.
1. Ownership & Intellectual Property Rights
All right, title, and interest in and to the WealthPlannr platform remain exclusively with WealthPlannr B.V. or its licensors, including:
- source code, build artifacts, and software architecture;
- simulation logic, fiscal-calculation models, and proprietary 2026 Dutch tax logic;
- AI prompts, processing workflows, and data-extraction methods;
- user interface designs, workflows, and user-experience patterns;
- database schemas, API structures, and system architecture;
- all documentation, specifications, and technical materials; and
- the “WealthPlannr” name, logo, and other trademarks and brand assets.
The underlying General Purpose AI Models used for inference (Anthropic Claude) remain the property of their respective providers and are used under licence; nothing in this Agreement claims ownership of those models. Except for the limited licence granted in Section 3, no right, title, or interest in the platform is transferred to you.
2. Confidential & Proprietary Materials
The source code, simulation and fiscal logic, AI prompts and processing methods, database schemas, and system architecture are confidential trade secrets of WealthPlannr B.V. You will not disclose, publish, or make available any such materials that you may access or infer through use of the software.
3. Licensed Usage Rights
Subject to your continuous compliance with this Agreement, WealthPlannr grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to:
- use the software for your own personal or private business (DGA) financial-planning and simulation purposes;
- access the features and functionalities as intended through the user interface; and
- store, manage, and export your own financial data within the platform.
Professional Users (belastingadviseurs, accountants, financial planners) who process client data must additionally accept and comply with the Data Processing Agreement (Verwerkersovereenkomst).
This licence grants no rights to the underlying technology, source code, simulation logic, or proprietary methodologies.
4. Prohibited Activities
You may not, and may not permit any third party to:
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, simulation logic, or fiscal models of the platform;
- copy, modify, translate, or create derivative works based on any part of the platform;
- scrape, crawl, harvest, or use bots or other automated means to extract data beyond ordinary use of the interface, or otherwise abuse the API or circumvent rate limiting;
- resell, rent, sublicense, distribute, or make the service available to any third party, except as expressly permitted for Professional Users under the DPA;
- bypass, disable, or interfere with security, authentication, or tenant-isolation measures;
- remove or obscure any proprietary, trademark, or attribution notices; or
- use the platform, or insights gained from it, to build, train, or assist a competing product.
5. Third-Party Technology Integration
WealthPlannr integrates third-party services for infrastructure while retaining its proprietary technology layer:
- Anthropic (Claude) — AI inference for document extraction and analysis. Commercial API tier; inputs are not used to train models and are subject to short, abuse-monitoring retention only.
- Supabase / AWS — database and authentication (EU, Ireland — eu-west-1).
- Netlify — application hosting and serverless functions (EU, Ireland — eu-west-1).
- Upstash (QStash) — rate limiting and the scheduled job queue (US); the queue carries a user identifier for scheduled dispatches.
- Resend — transactional email delivery, e.g. account and notification emails (US).
- Stripe — payment processing (EU, Dublin).
Market-data providers (e.g. Financial Modeling Prep) receive only non-personal query data such as tickers and are not sub-processors of your personal data.
While we rely on these third-party providers for infrastructure, all business logic, simulation and fiscal models, user workflows, and intelligent processing remain WealthPlannr's proprietary technology. Use of the platform is also subject to the applicable terms of these providers. The current list of sub-processors of personal data is maintained in our Privacy Policy and DPA.
6. Data Ownership & Processing
Your data. You retain ownership of your personal financial data and the content you submit. You control sharing and collaboration permissions and may export or delete your data as described in our Privacy Policy. Uploaded documents are processed transiently (in memory) and are not retained.
Our processing. We process your personal data only as needed to provide the service and as set out in the Privacy Policy and, where applicable, the DPA. We do not use your identifiable personal data to train or improve any model, whether ours or a third party's. Any model training or improvement we carry out uses only anonymised and aggregated data as described in Section 7.
7. Anonymised & Aggregated Data
We may create anonymised and aggregated data derived from your use of, and the data you submit to, the platform. Anonymised data is processed so that it can no longer be attributed to you or any other individual and therefore does not constitute personal data under the GDPR.
We may use, retain, and share such anonymised and aggregated data for any lawful purpose — including research, analytics, benchmarking, product improvement, and the development, training, and improvement of WealthPlannr's own models and AI features, whether or not those activities involve AI — and we may share anonymised data files with research or commercial partners.
Because anonymised data is not personal data, our use of it is not limited by the retention or processing commitments that apply to your personal data. To protect you, we will not attempt to re-identify anonymised data, and we will require any recipient of anonymised data to be contractually bound not to re-identify it. Nothing in this Section authorises the use of your identifiable personal data to train any model; any such use would require your separate, explicit, opt-in consent as described in our Privacy Policy, and you may withdraw that consent at any time.
8. Accuracy, Errors & No Warranty
To the maximum extent permitted by law, the platform and all outputs are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
WealthPlannr is software, not advice. Outputs — including tax estimations, FIRE and portfolio simulations, and AI-generated content — are estimates that may contain errors, omissions, or inaccuracies, and may depend on assumptions, third-party data, evolving fiscal rules, and probabilistic AI models. We do not warrant that any output is accurate, complete, current, or suitable for your circumstances. You are solely responsible for independently verifying all figures against official bank, brokerage, and Belastingdienst sources before relying on them or submitting them to any authority.
9. Service Level & Availability (SLA)
The software is provided on an “as is” and “as available” basis.
- Standard plans — Free, Pro, and Wealth — are provided on a best-effort availability basis with no formal Service Level Agreement (SLA) or uptime guarantee.
- We do not warrant that the service will be uninterrupted, timely, secure, or error-free.
- Scheduled maintenance, updates, and occasional unplanned downtime may temporarily interrupt the service.
- Enterprise availability and support are beholden to a separate, written commercial agreement (terms to be determined) — including any availability targets, support commitments, and remedies, negotiated per engagement.
10. Service Updates & Modifications
WealthPlannr is evolving software. We may update, modify, add, remove, suspend, or discontinue features — or the service as a whole — at any time, with or without prior notice. Interface changes, workflow modifications, or data-structure updates may occur during development. You acknowledge that functionality may change over time.
11. Term, Termination & Remedies
11.1 Term. This Agreement applies for as long as you access or use the platform.
11.2 Termination for cause. We may suspend or terminate your licence and account access immediately if you breach this Agreement, use the platform unlawfully or fraudulently, or create material risk or liability for us or other users.
11.3 Termination for convenience. We may discontinue the service, or terminate your access, for any reason on reasonable prior notice. Where we terminate for convenience and you have prepaid for a subscription period, we will refund the unused, prepaid portion on a pro-rata basis.
11.4 Your right to cancel. You may stop using the platform and cancel your subscription at any time, as described in the Terms of Service.
11.5 Effect of termination. On termination, your right to use the software ceases. Before termination, you may export your data in a machine-readable format (JSON; CSV for supported reports) as described in the Privacy Policy. After termination, we delete all your personal data within 30 days. Where we act as your processor, return and deletion follow Section 9 (Data Return & Deletion) of the DPA, and we provide written confirmation of deletion on request. Anonymised and aggregated data (Section 7), which is not personal data, may be retained.
11.6 Remedies. Violations of the ownership, confidentiality, or prohibited-activities provisions may result in claims for damages (including reasonable legal costs) and injunctive relief to prevent continued unauthorised use, in addition to any other remedies available at law.
12. Open Source Attribution
WealthPlannr is built on open-source frameworks and libraries — including React, Next.js, and Zustand — used under their respective permissive licences (such as the MIT Licence). Full attributions and licence details are available in our package manifest and repository documentation. The presence of open-source components does not affect WealthPlannr's ownership of its proprietary business logic, fiscal models, simulation logic, AI prompts, and workflows, which are separate from and not licensed under these open-source licences.
13. Order of Precedence & Related Agreements
This Agreement forms part of a single set of agreements together with our Terms of Service, Privacy Policy, and Data Processing Agreement, which apply together. This Agreement governs intellectual property, the usage licence, anonymised-data use, and service availability; the Terms of Service govern the broader user relationship; and the Privacy Policy and DPA govern the processing of personal data. Where a topic is addressed in more than one of these documents, the document that specifically governs that topic applies to it.
14. Agreement Acceptance
By creating an account or using WealthPlannr, you explicitly agree to:
- respect all intellectual property rights and proprietary technology of WealthPlannr B.V.;
- refrain from any prohibited activities listed above;
- accept the limited usage licence as defined in this Agreement; and
- submit to Dutch law and the jurisdiction of the Amsterdam courts for any disputes.
15. Governing Law & Jurisdiction
This Agreement is governed by the laws of the Netherlands. All disputes shall be submitted to the competent court in Amsterdam.
